Lead Savage started inside businesses we were actually running. We were tired of piecing together tools that didn’t talk to each other, so we built a more connected way to manage leads, follow-up, scheduling, and the customer journey.

Lead Savage, LLC ("Lead Savage," "we," "us," and "our") respects your privacy and is committed to protecting it through compliance with this Privacy Policy ("Privacy Policy"). This Privacy Policy describes the types of information we may collect from you when you visit the website at https://www.leadsavage.io or use the Services offered there (the "Platform"), and that you may provide in electronic messages to Lead Savage. It also describes our practices for collecting, using, maintaining, protecting, and disclosing that information.

2. Information We Collect and How We Collect It
Lead Savage may collect two types of information from you when you visit the Platform: Personal Information and Non-Personal Information (collectively "Information").
"Personal Information" refers to data by which you may be personally identified, such as name, email address, employer, job title and department, telephone number, physical address, payment information, and other information listed below.
"Non-Personal Information" means data that is about you but does not identify you specifically. If you do nothing during your visit to our Platform but browse, read pages, or view content, we will gather and store information about your visit that does not identify you personally.

- Communication Information: Records and copies of your correspondence with us, including email addresses, phone numbers, and the content of communications
- Transaction Information: Details of products or Services you purchase, including purchase history and billing records
- Support Information: Information you provide when reporting problems, requesting technical support, or making inquiries
- Survey and Feedback Information: Your responses to surveys, testimonials, reviews, or feedback forms
- Client Data: Information about your clients that you upload to the Platform, including contact information, communication preferences, and interaction history
- User Contributions: Any content, files, data, or materials you upload, post, or transmit through the Platform
B. Information Automatically Collected
When you visit or use the Platform, we automatically collect certain information:
- Device Information: Type of device, operating system, browser type and version, device identifiers
- Usage Information: Pages visited, features used, time spent on pages, click-through data, search queries, and navigation paths
- Location Information: General geographic location based on IP address or precise location if you grant permission
- IP Address and Domain Name: Internet Protocol address and domain name used to connect to the internet
- Log Information: Date and time of visits, referring/exit pages, and website navigation patterns
- Performance Data: Platform performance metrics, error reports, and diagnostic information

- Third-Party Integrations: Data from platforms and services you connect to Lead Savage (such as GoHighLevel, email service providers, calendar applications)
- Social Media: If you choose to link social media accounts to the Platform

D. SMS/MMS Information
If you use our SMS/MMS communication features, we collect:
- Phone Numbers: Mobile phone numbers of your contacts and clients
- Message Content: Content of SMS/MMS messages you send through the Platform
- Delivery Information: Message delivery status, timestamps, and carrier information
- Consent Records: Records of consent obtained from recipients to receive communications
- Opt-Out Data: Records of opt-out requests and do-not-contact preferences

We may share or transfer your information in connection with, or during negotiations of, any merger, sale of company assets, financing, acquisition, divestiture, restructuring, reorganization, dissolution, bankruptcy, or other business transaction or proceeding.
C. Legal Requirements and Protection
We may disclose your information:
- To comply with any court order, law, legal process, or governmental or regulatory request
- To enforce or apply our Terms of Service and other agreements
- To protect the rights, property, or safety of Lead Savage, our users, or others

E. Aggregated and De-Identified Information
We may share aggregated, anonymized, or de-identified information that cannot reasonably be used to identify you, without restriction.
F. Your Clients
When you use our Services to communicate with your clients, we facilitate the transmission of that information on your behalf. We do not control how your clients use the information you send them.
5. Data Retention and Deletion
A. General Retention Principles
We retain your Personal Information for as long as reasonably necessary to:
- Fulfill the purposes for which it was collected
- Provide you with Services
- Comply with legal, regulatory, tax, accounting, or reporting requirements
- Resolve disputes and enforce our agreements
- Maintain security and prevent fraud
B. Retention Periods by Data Type
- Account Information: Retained while your account is active and for a reasonable period after cancellation to resolve disputes or comply with legal obligations
- Transaction and Billing Records: Retained for at least 7 years to comply with tax and accounting requirements
- Communications Records: Retained for 3-7 years depending on the nature of the communication
- Technical Logs: Retained for 90 days to 2 years for security and troubleshooting purposes
- Marketing Data: Retained until you opt-out or we no longer have a legitimate business need
C. Account Cancellation and Immediate Data Deletion
IMPORTANT: When you cancel your account through https://account.leadsavage.io/bye, all user-accessible account data is immediately and permanently deleted.
This includes:
- Client contact information and databases
- Communication history and message content
- Files, documents, and uploaded content
- Workflows, automations, and configurations
- Forms, surveys, and user-generated content
- Analytics and reporting data
Once your account is cancelled, this data CANNOT be recovered. You must export any data you wish to retain BEFORE cancelling your account. Lead Savage is not responsible for data loss resulting from account cancellation.
D. Data Retained After Cancellation
Even after account cancellation and immediate deletion of user-accessible data, Lead Savage may retain certain limited information as required by law or for legitimate business purposes:
- Financial Records: Transaction history, invoices, payment records, and billing information (retained for 7 years for tax compliance)
- Legal Compliance Records: Information necessary to comply with legal obligations, court orders, or regulatory requirements
- Dispute Resolution: Records necessary for pending disputes, claims, or legal proceedings
- Fraud Prevention: Information necessary to prevent fraud and maintain platform security
- Aggregated Data: De-identified, anonymized, or aggregated data that cannot be traced back to you
Such retained information:
- Will not be accessible to you after cancellation
- Will not be used for marketing purposes
- Will be maintained securely in accordance with this Privacy Policy
- Will be deleted when no longer required by law or legitimate business need
E. Your Deletion Rights
Subject to applicable law and the limitations described above, you may request deletion of your Personal Information by:
- Cancelling your account at https://account.leadsavage.io/bye (immediate deletion)
- Contacting us at support@leadsavage.io (deletion within 45 days, subject to legal retention requirements)

6. Third-Party Service Providers and Subprocessors
We use third-party service providers and subprocessors to help us deliver, maintain, and improve the Platform and Services. These providers have access to your information only to perform specific tasks on our behalf and are obligated to protect your information and use it only for the purposes for which it was disclosed.
A. Categories of Service Providers
Platform Infrastructure and Hosting: GoHighLevel (primary platform infrastructure and CRM services); Cloud hosting and server providers; Content delivery networks (CDNs); Database management services.
Communication Services: SMS/MMS carrier providers and aggregators; Email delivery services (SMTP providers); Voice and telephony services; Communication API providers.
Payment Processing: Payment gateway providers; Credit card processors; Billing and subscription management services; Fraud detection and prevention services.
Analytics and Performance: Google Analytics (website analytics and user behavior tracking); Performance monitoring and error tracking services; A/B testing and optimization tools; Heat mapping and user experience tools.
Customer Support: Help desk and ticketing systems; Live chat providers; Customer relationship management tools.
Security and Compliance: Security monitoring and threat detection services; Data encryption providers; Backup and disaster recovery services; Compliance and audit tools.
Marketing and Advertising: Email marketing platforms; Advertising networks and platforms; Marketing automation tools; Social media integration services.
B. Data Sharing with Service Providers
When we share your information with service providers:
- We share only the minimum information necessary for them to perform their services
- They are contractually bound to confidentiality and security obligations
- They must comply with applicable data protection laws
- They may only use your information as directed by Lead Savage
- They must implement appropriate security measures
C. International Service Providers
Some of our service providers may be located outside the United States. When we transfer your information internationally, we ensure appropriate safeguards are in place. See Section 11 for more information about international data transfers.
D. Changes to Service Providers
We may add, remove, or replace service providers as necessary to deliver the Services. We maintain oversight of our service providers to ensure they meet our privacy and security standards.
7. Cookies and Tracking Technologies
A. What Are Cookies?
Cookies are small text files that are placed on your device when you visit a website. We use cookies and similar tracking technologies to collect and store information about your preferences, usage patterns, and interactions with the Platform.
B. Types of Cookies We Use
Essential Cookies (Required): These cookies are necessary for the Platform to function properly. They enable core functionality such as account login and authentication, security features, load balancing and platform performance, and session management. You cannot opt-out of essential cookies, as they are necessary to provide the Services.
Analytics Cookies (Optional): These cookies help us understand how visitors interact with the Platform by collecting and reporting information: Google Analytics (tracks page views, user behavior, and traffic sources); performance monitoring and error tracking; usage patterns and feature adoption; platform optimization data.
Functional Cookies (Optional): These cookies enable enhanced functionality and personalization: language preferences; user interface customization; feature preferences and settings; remember your choices and preferences.
Marketing/Advertising Cookies (Optional): These cookies track your activity across websites and are used for remarketing and retargeting, advertising campaign effectiveness, social media integration, and interest-based advertising.
C. Third-Party Cookies
We use the following third-party cookie providers: Google Analytics for website analytics and performance tracking; Facebook Pixel for advertising and remarketing (if applicable); and other advertising networks as needed for marketing campaigns. These third parties have their own privacy policies governing their use of cookies.
D. Google Analytics Advertising Features
We have implemented the following Google Analytics Advertising Features: Demographics and Interest Reporting; Remarketing with Google Analytics; Google Display Network Impression Reporting; Google Analytics for Display Advertising. E. Managing Cookies
Browser Controls: Most web browsers allow you to control cookies through their settings. Cookie Duration: Session cookies are deleted when you close your browser; persistent cookies remain on your device for a set period (typically 1-24 months) or until manually deleted.
8. SMS/MMS Data Handling
If you use the SMS/MMS communication features of our Platform, special data handling practices apply.
A. Information We Collect
When you use SMS/MMS Services: phone numbers of message recipients; message content (text and media); delivery timestamps and status; carrier information; opt-in/opt-out records; message frequency and patterns; response rates and engagement metrics.
B. Your Responsibilities
You are solely responsible for obtaining proper consent from recipients before sending messages; complying with the Telephone Consumer Protection Act (TCPA); complying with carrier guidelines and regulations; providing clear opt-out mechanisms; honoring opt-out requests immediately; maintaining records of consent; and ensuring message content complies with applicable laws.
Lead Savage is a technology platform provider only. We do not initiate, create, or control the content, timing, or recipients of any SMS/MMS messages. You are the sender and initiator of all communications.
C. How We Use SMS/MMS Data
We use SMS/MMS data only to facilitate message delivery on your behalf; provide delivery confirmations and reports; troubleshoot delivery issues; prevent fraud and abuse; comply with legal obligations; and improve our SMS/MMS Services.
D. Carrier Sharing
We share phone numbers and message content with SMS/MMS carrier networks (to deliver messages), SMS gateway providers and aggregators, and telephony service providers. These providers are contractually obligated to use the information only for message delivery and related services.
E. Message Retention
- Active Messages: Stored while your account is active for reporting and compliance purposes
- Opt-Out Records: Retained indefinitely to ensure compliance with opt-out requests
- Delivery Logs: Retained for 90 days for troubleshooting and compliance
F. Recipient Rights
Recipients of your SMS/MMS messages have the right to opt-out at any time by replying "STOP", request information about data collection, and file complaints with carriers or regulatory authorities. You must honor opt-out requests immediately and maintain do-not-contact lists.
9. How We Protect Your Information
A. Security Measures
We implement commercially reasonable security measures to protect your information from unauthorized access, use, alteration, and disclosure, including:
Technical Safeguards: Encryption of data in transit using SSL/TLS protocols; encryption of sensitive data at rest; secure authentication mechanisms and password policies; multi-factor authentication options; regular security patches and updates; firewalls and intrusion detection systems; security monitoring and logging.
Administrative Safeguards: Employee background checks and confidentiality agreements; access controls and principle of least privilege; security awareness training for personnel; incident response and disaster recovery plans; regular security audits and assessments; vendor security evaluations.
Physical Safeguards: Secure data centers with restricted access; environmental controls and monitoring; backup and redundancy systems.
B. Security Limitations
Despite our efforts, no security measures are 100% effective: the internet is inherently insecure, and we cannot guarantee absolute security; you transmit information to the Platform at your own risk; you are responsible for maintaining the confidentiality of your Login Credentials; unauthorized access or use may occur despite our security measures.
C. Your Security Responsibilities
To help protect your account: use a strong, unique password; enable multi-factor authentication if available; do not share your Login Credentials; log out when finished using the Platform; keep your contact information current; report suspicious activity immediately; and do not store highly sensitive information (SSNs, health data, passwords) on the Platform unless absolutely necessary.
D. Security Breach Reporting
If you become aware of any unauthorized access to your account or security vulnerability, immediately notify us at support@leadsavage.io.
10. Data Breach Notification
A. Our Breach Response Process
In the event of a data breach that affects your Personal Information or Client data:
Investigation: We will promptly investigate the breach; determine the scope and nature of compromised information; assess the risk to affected individuals; and take immediate steps to contain and remediate the breach.
Notification: We will notify you in accordance with applicable data breach notification laws; notification will be provided without unreasonable delay; we will notify you via email to your registered email address; we may also post a notice on the Platform or use other communication methods.
Information Provided: Our breach notification will include a description of the incident and when it occurred; types of information that were compromised; steps we have taken to address the breach; recommended actions you can take to protect yourself; and contact information for questions and assistance.
B. Timing of Notification
We will notify you as soon as reasonably possible after discovering the breach. Timing may vary based on the need to determine scope of breach, the need to restore Platform security, law enforcement investigations, and applicable legal requirements (which may specify timing).
C. Your Breach Notification Obligations
If you experience a breach of your Client data or your account is compromised: you must immediately notify Lead Savage; you are responsible for notifying your clients as required by law; and you must cooperate with our breach investigation and remediation efforts.
D. Limitations
Lead Savage's liability for any data breach is subject to the limitations set forth in the Terms of Service, Section 23 (Limitation of Liability).
11. International Data Transfers
A. Data Storage Location
Your information is primarily stored and processed in the United States. Our servers and data centers are located in the United States, and our primary service providers operate in the United States.
B. Cross-Border Transfers
If you access the Platform from outside the United States, your information will be transferred to, stored, and processed in the United States. The United States may have different data protection laws than your country of residence. By using the Platform, you consent to the transfer of your information to the United States and other countries where we or our service providers operate.
C. Safeguards for International Transfers
When we transfer Personal Information from the European Economic Area (EEA), United Kingdom (UK), or other jurisdictions with data protection laws, we implement appropriate safeguards, which may include Standard Contractual Clauses (SCCs) approved by the European Commission, adequacy decisions by competent authorities, Binding Corporate Rules, consent for specific transfers, and other legally recognized transfer mechanisms.
D. EEA and UK Data Transfers
For individuals in the EEA and UK: Lead Savage, LLC is the data controller of your Personal Information; we transfer your data to the United States, which may not have the same level of data protection as the EEA or UK; we rely on Standard Contractual Clauses and other appropriate safeguards to protect your information during transfer. For more information about your rights, see Section 18 (Rights of EEA and UK Residents).
12. Automated Decision-Making and Profiling
A. Automated Processing
We may use automated processing and algorithms to personalize your experience on the Platform, provide product or feature recommendations, optimize Platform performance and functionality, detect fraud and security threats, analyze usage patterns and trends, and improve our Services.
B. Profiling Activities
We may create profiles based on your usage patterns, preferences, and interactions with the Platform to customize your user interface, suggest relevant features or content, improve customer support, and enhance marketing relevance.
C. Solely Automated Decisions
We do not currently make solely automated decisions that produce legal effects or similarly significantly affect you. If we implement such processing in the future, we will provide you with meaningful information about the logic involved, explain the significance and consequences, offer you the right to obtain human intervention, allow you to express your point of view, and enable you to contest the decision.
D. Your Rights
If you are in the EEA or UK, you have the right to request information about automated decision-making, object to profiling for marketing purposes, request human review of automated decisions, and challenge decisions made solely by automated means.
13. Marketing Communications and Your Choices
A. Types of Communications
Transactional Communications: Account confirmations and updates; transaction receipts and billing statements; service announcements and updates; security alerts and notifications; customer support responses; legal notices. You cannot opt-out of transactional communications, as they are necessary to provide the Services.
Marketing Communications: Product announcements and new features; educational content and best practices; promotional offers and discounts; newsletters and industry updates; event invitations and webinars; surveys and feedback requests. You can opt-out of marketing communications at any time.
B. How to Opt-Out
Email Marketing: Click the "unsubscribe" link in any marketing email; log into your account and update communication preferences; or email us with "Unsubscribe" in the subject line. SMS/MMS Marketing: Reply "STOP" to any marketing text message or contact us. Phone Marketing: Request to be placed on our do-not-call list during the call or email us. Direct Mail: Email us to opt-out of physical mailings.
C. Opt-Out Processing
We will process your opt-out request within 10 business days. You may continue to receive communications during the processing period. Opting out of marketing does not affect transactional communications. Separate opt-outs may be required for different communication channels.
D. Third-Party Marketing
We do not sell or rent your information for third-party marketing purposes. We do not share your Personal Information with third parties for their direct marketing without your explicit consent.
14. Links to Other Websites and Services
A. Third-Party Links. The Platform may contain links to third-party websites, applications, and services that are not owned or controlled by Lead Savage, including partner websites, social media platforms, integration services, vendor sites, and educational resources.
B. No Responsibility. We are not responsible for the privacy practices of third-party websites or services, the content or functionality of third-party sites, information collected by third parties, or your interactions with third-party services.
C. Third-Party Privacy Policies. Third-party websites and services have their own privacy policies and terms of service. We encourage you to review the privacy policies of any third-party sites you visit.
D. No Endorsement. The inclusion of links to third-party sites does not constitute or imply endorsement of the third party, sponsorship or affiliation, approval of their content or practices, or any relationship between Lead Savage and the third party.
15. Information From Children
A. Age Restriction. The Platform is not intended for children under 16 years of age. We do not knowingly collect, use, or disclose Personal Information from children under 16.
B. Parental Notice. If you are under 16, do not use or provide any information on the Platform; create an account or register for Services; make any purchases through the Platform; or provide any information about yourself, including your name, address, telephone number, email address, or screen name.
C. Parental Rights. If we learn that we have collected Personal Information from a child under 16 without verification of parental consent, we will delete that information as quickly as possible. If you believe we have collected information from a child under 16, please contact us immediately.
D. Additional Protections. For children under 13, we comply with the Children's Online Privacy Protection Act (COPPA). We do not knowingly collect any information from children under 13 under any circumstances.
16. Your Rights and Choices
A. Access and Portability. You have the right to access your Personal Information, request a copy of the Personal Information we hold about you, receive your information in a structured, commonly used format, and transmit your information to another service provider (where technically feasible).
B. Correction and Update. You have the right to correct inaccurate or incomplete Personal Information, update your account information at any time, and request that we correct errors in your information.
C. Deletion. You have the right to request deletion of your Personal Information, subject to certain exceptions. Immediate Deletion: Cancel your account at https://account.leadsavage.io/bye for immediate deletion of all user-accessible data. Deletion with Exceptions: We will comply within 45 days, except where we must retain information to complete transactions or provide Services you requested, comply with legal obligations, resolve disputes and enforce agreements, detect and prevent fraud or security issues, exercise free speech or other rights, or engage in research (with anonymized data).
D. Restriction and Objection. You have the right to restrict processing of your Personal Information in certain circumstances, object to processing based on legitimate interests, and object to direct marketing and profiling for marketing purposes.
E. Consent Withdrawal. Where we process your information based on consent, you have the right to withdraw consent at any time and stop future processing based on that consent. Withdrawing consent does not affect the lawfulness of processing before withdrawal.
F. Exercising Your Rights. To exercise any of these rights, email us, provide sufficient information to verify your identity, specify which right you wish to exercise, and describe your request clearly. We will respond to verified requests within 45 days. We may extend the response time by an additional 45 days when reasonably necessary, with notice to you.
G. No Discrimination. We will not discriminate against you for exercising any of these rights, including by denying goods or services, charging different prices or rates, providing different quality of goods or services, or suggesting you will receive different prices or quality.
17. California Privacy Rights
If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA).
A. Categories of Personal Information Collected. We collect the following categories of Personal Information about California residents: Identifiers; Customer Records Information; Protected Classifications; Commercial Information; Internet/Network Activity; Geolocation Data; Sensory Information; Professional/Employment Information; Education Information; and Inferences.
B. Sources of Personal Information. Directly from you; your use of the Platform (automatically); third-party sources (partners, data providers, public databases); service providers and vendors; social media platforms; and your clients and customers.
C. Business and Commercial Purposes. We use Personal Information for the purposes described in Section 3, including providing and improving Services, processing transactions, customer support, marketing and advertising, analytics and research, security and fraud prevention, and legal compliance.
D. Categories of Third Parties. We share Personal Information with service providers and subprocessors, payment processors, analytics providers, marketing platforms, professional advisors (lawyers, accountants), government entities and law enforcement (when required), and parties in business transactions (mergers, acquisitions).
E. Sale and Sharing of Personal Information. We do not sell your Personal Information as "sale" is defined under the CCPA. We may "share" your Personal Information for cross-context behavioral advertising purposes. You have the right to opt-out of such sharing.
F. Sensitive Personal Information. We may collect Social security numbers, driver's license numbers, passport numbers (for identity verification, if required); financial account information (for payment processing); precise geolocation (if you enable location services); racial or ethnic origin, religious beliefs (if you voluntarily provide); and contents of communications (messages sent through the Platform). We use and disclose Sensitive Personal Information only for purposes permitted by law.
G. Your California Rights. Right to Know; Right to Delete; Right to Correct; Right to Opt-Out (of sale — not applicable, sharing for cross-context behavioral advertising, and automated decision-making technology); Right to Limit Use of Sensitive Personal Information; and Right to Non-Discrimination.
H. Exercising Your California Rights. Email us with the subject line "California Privacy Request" and include your name, email address, California residency confirmation, and specific request. We will verify your identity before processing requests and may request additional information. You may designate an authorized agent. We will respond within 45 days and may extend by an additional 45 days when necessary, with notice.
I. Authorized Agents. California residents may designate an authorized agent to make requests on their behalf by providing written authorization signed by you, verifying your identity, and verifying the agent's authority.
J. California Shine the Light. Under California Civil Code Section 1798.83, California residents have the right to request information about disclosure of Personal Information to third parties for direct marketing purposes.
K. Retention Period. We retain your Personal Information for the periods described in Section 5.
18. Rights of EEA and UK Residents
If you are located in the European Economic Area (EEA) or United Kingdom (UK), you have specific rights under the General Data Protection Regulation (GDPR) and UK GDPR.
A. Data Controller. Lead Savage, LLC is the controller of your Personal Information. Lead Savage, LLC, 115 E Main St. - Ste. A1B-9H, Buford, GA 30518.
B. Legal Basis for Processing. We process your Personal Information based on Contract Performance, Legitimate Interests, Legal Obligations, and Consent. You can withdraw consent at any time without affecting the lawfulness of processing before withdrawal.
C. Your Rights Under GDPR. Right of Access; Right to Rectification; Right to Erasure (Right to be Forgotten); Right to Restriction; Right to Data Portability; Right to Object; and Rights Related to Automated Decision-Making.
D. Exercising Your Rights. Email us, clearly describe your request, and provide information to verify your identity. We will respond within one month. We may extend by two additional months for complex requests, with notice.
E. Right to Lodge a Complaint. You have the right to lodge a complaint with a supervisory authority if you believe our processing violates GDPR. For UK residents: Information Commissioner's Office (ICO), https://ico.org.uk. For EEA residents: your local data protection authority.
F. Data Protection Officer. We have not appointed a Data Protection Officer as we are not required to do so under GDPR. For privacy inquiries, contact us at support@leadsavage.io.
G. International Transfers. See Section 11 for information about international data transfers.
19. Other State Privacy Rights
A. Virginia (VCDPA), Colorado (CPA), Connecticut (CTDPA), and Similar Laws. If you are a resident of Virginia, Colorado, Connecticut, or other states with comprehensive privacy laws, you may have rights similar to those described in Section 17, including the right to confirm whether we process your Personal Information, access your Personal Information, correct inaccuracies, delete your Personal Information, obtain a copy of your Personal Information (data portability), and opt-out of targeted advertising, sale of Personal Information, and profiling in furtherance of decisions with legal or significant effects.
B. Exercising State Privacy Rights. Email us, specify your state of residence, describe your request, and provide verification information. We will respond within the timeframe required by applicable state law (typically 45 days).
C. Appeals Process. If we deny your request, you have the right to appeal our decision. Email us within a reasonable time after our denial, include "Privacy Rights Appeal" in the subject line, and explain the basis for your appeal. We will respond to appeals within the timeframe required by applicable law.
20. Do Not Track
Some web browsers incorporate a "Do Not Track" (DNT) feature that signals websites you visit that you do not want your online activity tracked.
A. Our Response to DNT. At this time, the Platform does not respond to DNT signals or similar mechanisms. There is no industry consensus on how to respond to DNT signals, and we may revisit our approach as standards develop.
B. Third-Party Tracking. Third-party analytics and advertising services we use may track your activity across websites and over time. These services may not respond to DNT signals.
C. Opt-Out Alternatives. Although we don't respond to DNT, you can control tracking through browser cookie settings (see Section 7), third-party opt-out tools (Network Advertising Initiative, Digital Advertising Alliance), and Google Analytics opt-out: https://tools.google.com/dlpage/gaoptout
21. Changes to This Privacy Policy
A. Updates to Privacy Policy. We may update this Privacy Policy from time to time to reflect changes in our practices, changes in applicable law, new features or Services, feedback from users, and industry best practices.
B. Material Changes. For material changes that substantially affect your privacy rights, we will provide at least 30 days' advance notice, notice will be sent to your registered email address, and we may also post a notice on the Platform. Material changes may include significant changes to how we collect, use, or share information; changes to data retention periods; new categories of information collected; changes to your rights or how to exercise them; and changes to third-party sharing practices.
C. Non-Material Changes. For non-material changes (clarifications, formatting, minor updates), changes are effective immediately when posted, we will update the "Last Updated" date at the top of the Privacy Policy, and your continued use of the Platform constitutes acceptance.
D. Review Regularly. We encourage you to review this Privacy Policy periodically to stay informed about our practices.

Lead Savage Terms of Service
Effective Date: March 2, 2023
1. Overview
These terms of service ("Terms of Service") are entered into between you and Lead Savage, LLC ("Lead Savage," "we," or "us"). The Terms of Service govern your access to and use of the Lead Savage website at leadsavage.io including any content, functionality, communication channels, software, and Services offered on or through it (the "Platform").
By using the Platform, you agree to be bound and abide by these Terms of Service. Lead Savage may terminate your ability to use the Platform without notice if you do not comply with these Terms of Service. If you do not agree to these Terms of Service, you must not access or use the Platform. You must be at least 18 years old to use the Platform.
Lead Savage reserves the right to make changes to the Platform and to these Terms of Service at any time.
For non-material changes (such as clarifications, formatting updates, or minor operational adjustments), such changes are effective immediately when posted, and your continued use of the Platform constitutes acceptance.
For material changes that substantially affect your rights or obligations (including but not limited to changes in pricing structure, limitation of liability provisions, arbitration terms, data usage policies, or refund policies), Lead Savage will provide at least thirty (30) days' advance notice via email to your registered email address before such changes take effect. The email notice will describe the material changes and their effective date.
Your continued use of the Platform following the effective date of material changes means that you accept and agree to the changes. If you do not agree to material changes, your sole remedy is to cancel your account in accordance with Section 7(g) prior to the effective date of the changes. You will not be entitled to a refund for any unused portion of your subscription.
In all cases, the most current version of these Terms of Service will be posted on the Platform with the "Effective Date" updated accordingly.
All Information Lead Savage collects on the Platform is subject to our Privacy Notice posted on the Platform. By using the Platform, you consent to all actions taken by us with respect to your Information in compliance with the Privacy Notice. The Privacy Notice is incorporated into and governed by these Terms of Service. To the extent there is a conflict, these Terms of Service supersede the Privacy Notice. You agree that you will not upload any confidential or personal information onto the Platform except for personal information specifically requested by Lead Savage pursuant to the Privacy Notice.
All Platform Content (as defined below) is current as of the date it is posted on the Platform to the best of Lead Savage's knowledge. As used in these Terms of Service, references to the "Lead Savage Team" include Lead Savage, our owners, assigns, subsidiaries, affiliated companies, officers, and directors, and all parties involved in creating, producing, and/or delivering the Platform.
2. Services
Lead Savage provides a multitude of product integrations and services (the "Services") on the Platform, which you may subscribe to through the Platform. All references to the Platform include the Services. All Services are subject to these Terms of Service as well as the additional provisions below. The terms in these Terms of Service govern to the extent there is a direct conflict between the additional terms linked below and these Terms of Service.
a. Right to Modify the Services. We reserve the right to implement new elements as part of the Services including changes that may affect the previous mode of operation of the Services. We believe that any such modifications will enhance the overall Services, but it is possible that your opinion may vary.
b. No Contingency on Further Releases and Improvements. You understand that your purchase of Services on or through the Platform is not contingent on the delivery by us of any future release of any functionality or feature, including but not limited to the continuation of a certain Service beyond its current subscription term, or any third-party services.
c. As-Is. The Platform is provided on an as-is basis as further described in Section 22, except as expressly provided otherwise in this Agreement.
d. Features. Features and terms used in connection with the Platform and Services such as "power dialer" may have some resemblance to those provided by others, but our Platform features and terms are specific to our Platform.
e. Additional Terms. Additional terms may apply to specific services and programs offered by Lead Savage on the Platform. To the extent there is a conflict, these Terms of Service will take precedence.
f. Service Availability and Uptime. Lead Savage strives to maintain high availability of the Platform and Services but does not guarantee uninterrupted, timely, secure, or error-free access. The Platform may be unavailable or experience degraded performance due to scheduled or emergency maintenance, system updates or upgrades, technical issues or server failures, third-party service provider outages, and circumstances beyond Lead Savage's reasonable control. Lead Savage will use commercially reasonable efforts to provide advance notice of scheduled maintenance but is not obligated to do so. Lead Savage is not liable for any losses, damages, or costs resulting from service interruptions, downtime, or degraded performance, regardless of cause. Your sole remedy for service unavailability is termination of your account as described in Section 28(c), subject to the no-refund provisions in Section 7(f).
g. Beta and Experimental Features. From time to time, Lead Savage may offer beta, experimental, preview, early access, or similar features that are still in development or testing ("Beta Features"). Beta Features may be clearly labeled as "beta," "experimental," "preview," or similar designations, or may be offered on an invitation-only or limited-access basis. Beta Features are provided AS-IS with no warranties of any kind, express or implied. Beta Features may contain bugs, errors, or defects; may not function as intended or described; may be modified, discontinued, or removed at any time without notice; may result in data loss or corruption; may not be compatible with the production Platform; and are not subject to the same support or service level commitments as production features. You use Beta Features entirely at your own risk. Lead Savage has no obligation to continue offering any Beta Feature, migrate Beta Feature functionality to production, provide support for Beta Features, or maintain data generated by Beta Features. By using Beta Features, you agree to provide feedback to Lead Savage regarding your experience, and you grant Lead Savage a perpetual, irrevocable license to use such feedback without compensation or attribution. Beta Features are subject to additional terms that may be provided when you access the Beta Feature. In the event of conflict between these Terms of Service and Beta Feature-specific terms, the Beta Feature terms control solely with respect to that Beta Feature.
3. Intellectual Property
The Platform and its entire content, data, features, Services, and functionality (including but not limited to text, graphics, videos, logos, button icons, databases, music, sounds, images, or other material that can be viewed on the Platform) ("Platform Content") are the property of Lead Savage or its licensors and are protected by copyright, trademark and other intellectual property laws, except as indicated below. Platform Content does not include User Contribution(s), as defined below. Any intellectual Property copyrighted by Lead Savage may not be transferred out of the account for any reason.
The Lead Savage name and related logos are trademarks and service marks ("Marks") of Lead Savage. Lead Savage Marks may not be used without advance written permission of Lead Savage including in connection with any product or service that is not provided by Lead Savage or in any manner that is likely to cause confusion, or in any manner that disparages, discredits, or misrepresents Lead Savage. Other products or company names mentioned on the Platform may be trademarks or service marks of their respective owners.
A third-party website may feature our logos or trademarks, with or without authorization. Our logos or trademarks featured in any third-party website do not constitute or imply any approval, sponsorship, or endorsement of Lead Savage. If you believe that any content on the Platform violates your intellectual property rights, please notify Lead Savage as described in Sections 19 and 32.
4. Limited License and Prohibited Uses
Lead Savage grants you a personal, royalty-free, non-assignable, revocable, and non-exclusive license to access and use the Platform Content while using the Platform. Except to make the Services available to you and your end users, as expressly permitted under these Terms of Service, any other use, including the reproduction, modification, distribution, transmission, republication, framing, display or performance of Platform Content without prior permission of Lead Savage is strictly prohibited. You may not remove any Marks or other proprietary notices, including, without limitation, attribution information, credits, and copyright notices that have been placed on or near the Platform Content.
You, your employees, and your end user clients ("Clients") may use the Platform only for lawful purposes and in accordance with these Terms of Service. You agree that you, your employees, and your Clients will not:
- Use the Platform or any Services in any way that violates any applicable law or regulation.
- Use the Platform or any Services for the purpose of exploiting, harming or attempting to exploit or harm anyone in any way.
- Send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms of Service.
- Transmit, or procure the sending of, any unlawful advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- Impersonate or attempt to impersonate Lead Savage a Lead Savage employee, another user or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
- Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform or any Services, or which, as determined by Lead Savage may harm Lead Savage or users of the Platform or expose them to liability.
- Use the Platform or any Services in any manner that could disable, overburden, damage, or impair the Platform or interfere with any other party's use of the Platform, including their ability to engage in real time activities through the Platform.
- Use any robot, spider or other automatic device, process or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform.
- Use any manual process to monitor or copy any of the material on the Platform or for any other unauthorized purpose without Lead Savage's prior written consent.
- Use any device, software or routine that interferes with the proper working of the Platform or any Services.
- Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, any server, computer, or database connected to the Platform, or any Services.
- Attack the Platform via a denial-of-service attack or a distributed denial-of-service attack.
- Otherwise attempt to interfere with the proper working of the Platform or any Services.
5. Customer/End User Conduct
In connection with your use of the Platform or Services, you agree that:
- You, your employees, agents, and Clients will maintain in effect all licenses, permissions, authorizations, consents, and permits necessary to carry out the obligations under these Terms of Service.
- You are fully responsible for your actions and the actions of your employees, agents, and Clients with respect to use of the Platform.
- You are fully responsible for the use of the Services by your Clients. Lead Savage's agreement is with you, not your Clients.
- You, your employees, agents and Clients will not misrepresent the Services.
- You will provide these Terms of Service to your employees, agents, and Clients and confirm that all employees, agents, and Clients understand that they are subject to these Terms of Service if they use or offer the Services.
- You own or control all rights in and to all content you provide to Lead Savage.
- You will be solely responsible for all of your use of the Platform, including the quality and integrity of any data and other information made available to us by or for you through the use of the Services under these Terms of Service and each Service that you make available to your Clients.
- You have provided, and will continue to provide, adequate notices and have obtained, and will continue to obtain, the necessary permissions and consents to provide your Client's data to us for use and disclosure in accordance with these Terms of Service and our Privacy Notice.
- You, your employees, and your Clients will provide reasonable cooperation regarding information requests from law enforcement, regulators, or telecommunication providers.
a. Use of Subprocessors and Service Providers. Lead Savage uses third-party service providers, subprocessors, vendors, and contractors ("Subprocessors") to deliver, maintain, and improve the Services. Subprocessors may have access to your data and Client data as necessary to perform their functions. By using the Platform, you consent to Lead Savage's use of Subprocessors, provided that Subprocessors are bound by confidentiality obligations, implement appropriate data security measures, use data only as necessary to provide services to Lead Savage, and comply with applicable data protection laws. Subprocessors may include, but are not limited to, providers of cloud hosting and infrastructure services; email and SMS/MMS delivery services; payment processing services; customer support and ticketing systems; analytics and monitoring tools; and security and fraud prevention services. Lead Savage maintains a list of current Subprocessors, which may be updated from time to time without notice to you. Lead Savage reserves the right to add, remove, or replace Subprocessors as necessary to provide the Services. Lead Savage remains responsible for the performance of its Subprocessors to the extent such performance relates to obligations under these Terms of Service, subject to the limitations of liability set forth in Section 23.
6. Your Use of Communications Features of the Services
Lead Savage is the provider of Services for your use, which may include certain communications features such as SMS, MMS, email, voice call capabilities and other methods. You agree that:
- You are exclusively responsible for all communications sent using the Services, including compliance with all laws governing those communications such as the Telephone Consumer Protection Act ("TCPA") and the CAN-SPAM Act, and you agree that you understand and will comply with those laws.
- You understand that your use of the Services may violate applicable laws if you do not comply with them. Lead Savage is not responsible for your compliance with laws and does not represent that your use of the Services will comply with any laws. You should consult a lawyer for legal advice to ensure your communications comply with applicable law.
- Lead Savage is a technology platform communication service application provider only. Lead Savage does not originate, send, or deliver any communications to any recipient via SMS, MMS, email, or other communication method.
- You, not Lead Savage are the maker or initiator of any communications. You control the message, timing, sending, fraud prevention, and call blocking. The Service is purely reactive and sends messages only as arranged and proscribed by you. All communications, whether, without limitation, SMS, MMS or email, are created by and initiated by you and/or your Clients, whether generated by you or sent automatically via the Services at your direction.
- Any customer data provided to Lead Savage through any means, including without limitation, by inbound text, data imports, tablet sign-ins, API calls or manual entry, only includes data from individuals who have explicitly opted into your communications program and have explicitly agreed to receive your communications (whether by SMS, MMS, email, voice communication or other method) in accordance with applicable law, including without limitation the TCPA.
- Lead Savage cannot control emails sent to "SPAM" or "Garbage" and it is your responsibility to ensure your messages and communications are being sent and received.
TCPA Safe Harbor Provisions. Lead Savage qualifies for and asserts all applicable "safe harbor" protections under the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and similar communications regulations as a provider of communication technology services. You expressly acknowledge and agree that: Lead Savage is a technology platform provider and communication service application provider only; Lead Savage does not determine the recipients, content, timing, or purpose of any communications sent through the Services; Lead Savage has no direct relationship with the recipients of communications sent through your use of the Services; you, not Lead Savage, are the "sender," "initiator," and "maker" of all communications sent through the Services; you exercise sole control over all aspects of communications, including message content, recipient selection, send timing, frequency, and opt-out mechanisms; and Lead Savage's role is purely facilitative and reactive, executing only those communications you specifically direct or configure the Platform to send. You agree to indemnify, defend, and hold harmless Lead Savage and the Lead Savage Team from any and all TCPA claims, CAN-SPAM violations, or other communications-related regulatory claims arising from your use of the Services, regardless of whether such claims are brought against you, Lead Savage, or both. This indemnification obligation is in addition to those set forth in Section 23 and survives termination of these Terms of Service.
7. Payment
a. Fees. If you choose to purchase one or more of the Services provided on the Platform, you agree to pay all fees ("Fees") associated with the Services. Our monthly subscription provides tiered pricing for different levels of Services and products based on the Services you choose to use. In addition to our monthly subscription Services, you may purchase add-in Services for a one-time Fee or recurring subscription Fees. Fees may change from time to time. All Fees are exclusive of any applicable communications service or telecommunication provider (e.g., carrier) fees or surcharges (collectively, "Communications Surcharges"). You will pay all Communications Surcharges associated with your use of the Services. Communications Surcharges will be shown as a separate line item on an invoice. All Fees and Communications Surcharges are nonrefundable.
b. Billing. Any charges incurred by your purchase or use of the Services will be billed to the credit card we have on file. In the event you sign up for a Service that is ongoing and incurs recurring charges (such as a subscription), such charges will be billed in advance of Service. You agree to provide us with accurate and complete billing information, including valid credit card information, your name, address, and telephone number, and to provide us with any changes in such information within 10 days of the change. If you are passing the obligation to pay Platform-related Fees to your Clients, you are solely responsible for all related transactions, including but not limited to refunds and charge backs of such Fees that are passed on. Lead Savage is not responsible for resolving issues related to costs passed on to your Clients. Any fees passed on to Clients or other third parties must be amounts charged by Lead Savage without increase or markup.
c. Taxes. You are exclusively responsible for taxes and other governmental assessments ("Taxes") associated with your use of the Platform, including all Taxes associated with the Services you order and any transactions you conduct with your Clients. Lead Savage may collect Taxes from you as part of the Fees as it deems appropriate, and all Lead Savage determinations regarding what Taxes to collect are final. Lead Savage may recalculate and collect additional Taxes from you if it determines at any point that they are due. You will indemnify Lead Savage for all Claims related to Taxes that are associated with your activities on the Platform, including any Taxes related to your transactions with your Clients, as described in Section 23. Taxes, like all Fees, are nonrefundable.
d. Overdue Amounts. If, for any reason, your credit card company declines or otherwise refuses to pay the amount owed for the Services you have purchased, you agree that we may suspend or terminate performance of Services or delivery of products and may require you to pay any overdue Fees and other amounts incurred (including any third-party chargeback fees or penalties) by other means acceptable to us. In the event legal action is necessary to collect on balances due, you agree to reimburse us for all expenses incurred to recover sums due, including attorney fees and other legal expenses. If payments go unmade access to the Services will be discontinued with no access to any data in the system.
e. Payment Disputes and Chargebacks. You will notify us in writing within thirty (30) days of the date we bill you for any invoiced charges that you wish to dispute. You must pay all invoiced charges while the dispute is pending or you waive the right to pursue the dispute. Where you are disputing any fees, you must act reasonably and in good faith and cooperate diligently with us to resolve the dispute. All Lead Savage determinations regarding your obligation to pay invoiced charges are final. Your account may be subject to suspension during any dispute to avoid further billing. Filing a chargeback, payment dispute, or claim with your credit card company or financial institution without first following this dispute resolution process and without properly cancelling your account through https://account.leadsavage.io/bye constitutes fraud and theft of services. Your account remains active and you remain obligated to pay all Fees until you properly cancel your subscription through Lead Savage's cancellation process. Whether or not you log in to or actively use the Services is irrelevant to your payment obligation. Failure to use the Services does not constitute cancellation, and you will continue to be billed for all subscription Fees until you formally cancel your account. If you file a chargeback or payment dispute with your financial institution without properly cancelling your account or without first attempting to resolve the dispute with Lead Savage, Lead Savage will treat such action as fraudulent activity and theft of services; immediately suspend or terminate your account; pursue all available legal remedies, including but not limited to civil litigation for breach of contract, fraud, and theft of services; report fraudulent activity to appropriate authorities for potential criminal prosecution; seek recovery of all amounts owed, including disputed charges, legal fees, collection costs, and any chargeback fees or penalties incurred by Lead Savage; and report the fraudulent activity to credit bureaus and fraud prevention agencies. Initiating a chargeback for active Services constitutes a material breach of these Terms of Service and waives your right to dispute resolution through Lead Savage. Any chargeback filed after proper account cancellation through https://account.leadsavage.io/bye will be handled in accordance with Section 7(f), and all Fees remain non-refundable.
f. No Refunds. Except as described below, all Fees assessed by Lead Savage are non-refundable, and Lead Savage does not provide Fee refunds or credits for partially used or unused subscriptions. If you sign up for a Service subscription but do not access the Service or Platform, you are still responsible for all Fees during the term of your subscription. If Lead Savage chooses at its sole discretion to issue a refund or credit in one instance, we are under no obligation to issue the same refund or credit in the future. We reserve the right to issue refunds or credits at our sole discretion in the following situations: where we materially modify these Terms of Service or Privacy Notice during a billing period and such modification adversely affects you, we may refund a portion of your subscription Fee equal to the remaining unused term, as we determine appropriate or as may be required by applicable law (to be eligible for a refund, you must provide written notice that identifies your account and requests cancellation of the specific Service; the cancellation will be effective upon our receipt of your notice and our determination that you are authorized to effect such cancellation); and where a modification or interruption of Services adversely affects you and alternative remedies, as specified in these Terms of Service, are not available, we may refund a portion of your paid subscription Fee equal to the remaining unused term of your subscription, as we determine appropriate or as may be required by applicable law.
g. Account Cancellation. You may cancel your subscription to the Services at any time by submitting a cancellation request through our cancellation form at https://account.leadsavage.io/bye or by contacting our support team. Cancellations take effect immediately upon submission, and your access to the Services and Platform will be terminated at that time. You remain responsible for all Fees incurred up to the date of cancellation, including the full amount of your current billing period. In accordance with Section 7(f), cancellation of your subscription does not entitle you to a refund or credit for any unused portion of your subscription term or for any Fees paid prior to cancellation. If you have purchased add-in Services or products, cancellation of your base subscription does not automatically cancel these additional Services unless otherwise specified. You must export or retrieve any data stored on the Platform prior to submitting your cancellation request. Upon cancellation, all account data is immediately and permanently deleted. Lead Savage cannot retrieve your data after cancellation and is not responsible for any data loss resulting from cancellation of your account. It is your sole responsibility to backup and export all data before initiating the cancellation process. If you choose to reactivate your account after cancellation, you will be subject to the then-current pricing and terms of service, and Lead Savage is under no obligation to restore any previously deleted data or honor previous pricing arrangements. Lead Savage reserves the right to suspend or terminate your account immediately if you violate these Terms of Service or engage in prohibited activities. In such cases, you will not be entitled to any refund of Fees paid.
Data Retention for Legal and Business Purposes. While all account data and user-accessible content is immediately and permanently deleted upon cancellation, Lead Savage may retain certain information as required by law or for legitimate business purposes, including but not limited to financial records and transaction history (for tax, accounting, and audit purposes); records necessary for dispute resolution or pending legal proceedings; information required to comply with legal obligations, court orders, or regulatory requirements; aggregated, anonymized, or de-identified data that cannot be traced back to you; abuse prevention and security logs; and communications related to legal notices or terms of service violations. Such retained information will be maintained in accordance with our Privacy Policy and applicable law and will not be accessible to you or used for marketing purposes. The retention period for such information will not exceed that required by applicable law or legitimate business need.
8. Excessive Data Usage
Your excessive data use may cause the Service to be slow or unavailable. We have no liability for the effect that your excessive data use may have on Service performance. We may (1) suspend or terminate your use of the Service or (2) reduce the amount of data you are able to use, with or without advance notice, if we determine in our sole discretion that your data use is excessive, abusive or has a negative effect on the Services in any way. We provide the Service on a tiered-pricing basis, and some tiers can process more data with less impact on Service performance. Contact us if you would like more information about pricing for data usage that may be more appropriate for your needs.
9. Training
Lead Savage may offer training to you related to how to use the Services. All training and associated information conveyed as part of it ("Training") is as-is, with no warranty, as explained further in Section 22 (Disclaimer). You know your own situation and your Clients, and you alone are responsible for how and whether you adopt any strategies learned through Training. Lead Savage makes no guarantees that Training will produce any particular outcome, and Training may in rare cases be counterproductive depending on your situation.
10. Data Stored on Our Servers
Subject to our Privacy Notice, you agree that we have no responsibility or liability for the deletion or failure to store any content maintained or transmitted on or through the Platform. You acknowledge that we reserve the right to remove or terminate accounts that have not paid a subscription Fee, that remain inactive for longer than one (1) year, or that have violated one or more terms of this Agreement.
a. Data Security and Breach Notification. Lead Savage implements commercially reasonable security measures to protect data stored on the Platform. However, no system is completely secure, and Lead Savage cannot guarantee the absolute security of your data. You acknowledge that you transmit data to the Platform at your own risk. In the event of a data breach that affects your account or Client data, Lead Savage will notify you in accordance with applicable law and will take reasonable steps to investigate and remediate the breach. Notification timing and method will comply with applicable data breach notification laws. You are responsible for implementing your own security measures and should not store highly sensitive information (such as social security numbers, financial account numbers, health information, or passwords) on the Platform unless absolutely necessary for the Services. You agree to immediately notify Lead Savage if you become aware of any unauthorized access to your account. Lead Savage's liability for any data breach is subject to the limitations set forth in Section 23 of these Terms of Service.
11. Account Registration
To access portions of the Platform or to register for or use the Services, you will be asked to provide registration details or other Information. It is a condition of your use of the Platform that all Information you provide is complete, current, and accurate. All Information you provide to register with the Platform, complete a transaction through the Platform, or otherwise is governed by our Privacy Notice, and you consent to all actions Lead Savage takes with respect to your Information consistent with our Privacy Notice.
12. Use and Protection of Login Credentials
You are responsible for maintaining the confidentiality of your user name and password ("Login Credentials"). You are responsible for all uses of your account and Login Credentials, whether or not authorized by you. You agree to notify Lead Savage immediately of any unauthorized access to or use of your account or Login Credentials or any other breach of security. Lead Savage reserves the right to disable your Login Credentials at any time in its sole discretion for any or no reason, including if, in Lead Savage's opinion, you have violated any provision of these Terms of Service. User accounts are non-transferable, and all users are obligated to take preventative measures to prohibit unauthorized users from accessing the Platform with his or her password.
Account Transfer and Business Succession. User accounts are non-transferable, and all users are obligated to take preventative measures to prohibit unauthorized users from accessing the Platform with their Login Credentials. Notwithstanding the general non-transferability of accounts, in the event of a legitimate business acquisition, merger, or sale where your business is acquired by another entity; the death of an individual account holder; or a court-ordered business succession or receivership, Lead Savage may, at its sole discretion and upon receipt of proper documentation, permit account transfer to a successor entity, estate representative, or court-appointed fiduciary. All transfer requests must be submitted in writing and must include legal documentation evidencing the succession event (purchase agreement, death certificate, court order, etc.); verification of the successor's identity and authority; written acceptance by the successor of these Terms of Service; and payment of any applicable transfer fees as determined by Lead Savage. Lead Savage reserves the right to deny any transfer request for any reason. Approved transfers will be subject to then-current pricing and terms of service; verification that all outstanding Fees are paid in full; and Lead Savage's standard onboarding and verification procedures. Any unauthorized transfer or sharing of account access is a material breach of these Terms of Service and grounds for immediate termination under Section 27(a).
Account Departure and Offboarding. If you choose to discontinue your Lead Savage subscription, Lead Savage will, upon your written request submitted prior to cancellation, release your sub-account as a standalone account directly with the underlying platform provider (GoHighLevel). This is the sole and exclusive method by which your account may be transitioned away from Lead Savage. You expressly acknowledge and agree that Lead Savage will not transfer, migrate, or release your sub-account to any third-party agency, reseller, white-label provider, or SaaS platform other than as a standalone account provisioned directly to you; if you independently establish an agency account or reseller relationship with GoHighLevel or any other platform provider prior to requesting offboarding from Lead Savage, Lead Savage is under no obligation to transfer your sub-account to that agency or reseller account and reserves the right to decline any such request; you must initiate the offboarding process by contacting Lead Savage before creating any independent agency account or taking any action to migrate your account outside of Lead Savage (failure to do so may result in data loss, service disruption, or forfeiture of account data, for which Lead Savage bears no responsibility); Lead Savage will use commercially reasonable efforts to assist you in transitioning to a standalone account, provided that all outstanding Fees are paid in full and you have complied with these Terms of Service; any intellectual property created by Lead Savage, including but not limited to funnels, workflows, automations, templates, snapshots, and other Platform Content built by Lead Savage or provided as part of the Services, remains the property of Lead Savage pursuant to Section 3 and may not be transferred, exported, or duplicated as part of the offboarding process (only your original data, contacts, and User Contributions will be included in the standalone account release); and Lead Savage reserves the right to charge a reasonable administrative fee for account offboarding and transition services, as determined at the time of the request. This Section does not limit Lead Savage's right to terminate your account pursuant to Section 28(a) or your right to cancel your subscription pursuant to Section 7(g).
13. User Contributions
The Platform may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, social media, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Platform. All User Contributions must comply with these Terms of Service. Any User Contribution you post to the Platform will be considered non-confidential and non-proprietary. By providing any User Contribution on the Platform, you grant us, the Lead Savage Team, and our service providers, and each of their licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.
You represent and warrant that you own or control all rights in and to the User Contributions and have the right to grant the license granted above; all of your User Contributions do and will comply with these Terms of Service; and you understand and acknowledge that you are responsible for any User Contribution you submit or contribute, and you, not Lead Savage have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.
By posting information on the Platform, or by otherwise using any communications service, message board, newsgroup, or other interactive service available on the Platform, you agree that you will not post comments, messages, links, code, or other information that are unlawful, threatening, abusive, harassing, defamatory, deceptive, fraudulent, tortious, invasive of another's privacy, or includes graphic descriptions of sexual or violent content; victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability; infringes any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party; or breaches the security of, compromises or otherwise allows access to secured, protected or inaccessible areas of this Platform, or attempts to gain access to other network or server via your account on this Platform. We are not responsible or liable to any third party for the content or accuracy of any User Contribution posted by you or any other user of the Platform, nor do we endorse the User Contribution of third parties. Further, we are not responsible for any failure or delay in removing such postings. While we do not monitor User Contributions, at our sole discretion, Lead Savage may choose to unpublish or otherwise make not available for public viewing any material we deem unnecessary or inappropriate for use on our Platform.
14. User Customization
Portions of the Platform may be modified by you, incorporating your name, logo, trademark, and color scheme into your individual access area within the Platform. You are solely responsible for copyright, trademark or other intellectual property concerns connected with your and your Clients' customized look and feel of the Platform. You acknowledge that you may not be able to customize the Platform according to your unique branding to the extent that your customization would appear to be independently developed. Lead Savage may remove any of your modifications at any time without advance notice and with no liability to you.
15. Promotions
From time to time, this Platform may include advertisements offered by third parties. You may enter into correspondence with or participate in promotions of the advertisers showing their products on this Platform. Any such correspondence or promotions, including the delivery of and the payment for goods and services by those third parties, and any other terms, conditions, warranties or representations associated therewith, are solely between you and the advertiser. We assume no liability, obligation or responsibility for any part of any such correspondence or promotion. You will ensure that these activities comply with all relevant laws.
16. Content You Create
You own and retain all ownership rights to your data and User Contributions uploaded to the Service ("Your Data"). You grant us, the Lead Savage Team, and our service providers the right to use Your Data as necessary to provide the support and services to you and as permitted by these Terms of Service and our Privacy Notice. If you are using the Services on behalf of another party, then you represent and warrant that you have all sufficient and necessary rights and permissions to do so. Subject to the limited license granted, we acquire no right, title or interest from you or your licensors under these Terms of Service. Content you create will never be, duplicated, shared, or sold without your contractually signed agreement.
17. Submission of Ideas
The Platform may include a platform through which users may submit ideas in connection with new products, Services and/or related features (each, an "Idea"). By submitting an Idea to Lead Savage you agree to the following unless we have mutually agreed in writing otherwise:
- You are submitting your Idea to Lead Savage on a voluntary, non-confidential, and gratuitous basis;
- You grant Lead Savage and its designees a perpetual, irrevocable, non-exclusive, fully-paid up and royalty-free license to use any Idea you submit to Lead Savage without restrictions or payment or other consideration of any kind, or permission or notification to you or any third party. The license includes, without limitation, the irrevocable right to reproduce, prepare derivative works, combine with other works, alter, translate, distribute copies, display, perform, license the Idea, and all rights therein, in the name of Lead Savage or its designees throughout the universe in perpetuity in any and all media now or hereafter known;
- Lead Savage may already be working on the same or a similar Idea, or it may have received a similar or identical idea from other sources;
- The Idea represents your own original work, you have all necessary rights to disclose the Idea to Lead Savage and neither your disclosure of the Idea nor Lead Savage's review and/or use of the Idea will infringe upon the rights of any other individual or entity;
- Disclosing your Idea to Lead Savage does not establish a confidential relationship or obligate Lead Savage to treat the Idea as confidential;
- Lead Savage has no obligation to develop or use your Idea and does not owe you or anyone else any compensation for any use of your Idea or any Ideas that are related to or derived from your Idea;
- Lead Savage assumes no obligation with respect to any Idea unless and until it enters into a written contract with you, and then only as expressed in such written contract;
- If your Idea is the subject of a patent that is pending or has been issued, you have or will disclose that fact to Lead Savage. Lead Savage acknowledges that to the extent you hold a patent in the Idea, no license under any patent is granted to Lead Savage;
- Any license to use a patented Idea shall be in the form of a written contract, and Lead Savage's obligations shall be limited to only those in such written contract;
- Lead Savage is not obligated to review your Idea, give reasons for rejecting your Idea, or disclose any activities that are related to the subject matter of your Idea;
- You will not construe Lead Savage's review of your Idea, or any discussion, negotiations or offer between yourself and Lead Savage relating to the possible purchase or license of your Idea, as recognition of the novelty, originality, priority, other rights, or value of your Idea, and Lead Savage's discussions or negotiations with you will not in any way impair Lead Savage's right to contest the validity or infringement of your rights;
- You hereby irrevocably release and forever discharge Lead Savage and the Lead Savage Team from any and all actions, causes of actions, claims, damages, liabilities and demands, whether absolute or contingent and of any nature whatsoever, which you now have or hereafter can, shall or may have against Lead Savage or the Lead Savage Team with respect to the Idea, including without limitation in respect of how Lead Savage directly or indirectly uses the Idea, with the sole exception in respect of the foregoing release and discharge being your right to bring a claim of patent infringement; and
- You agree that you are responsible for the content of the Idea and further agree (at Lead Savage's option and at your sole expense) to defend, indemnify, and hold Lead Savage harmless from any and all actions, claims, and liabilities, demands, whether absolute or contingent and of any nature whatsoever, damages, losses, costs, fees, fines or expenses, including reasonable attorneys' fees, which Lead Savage or the Lead Savage Team may incur as a result of use of your Idea in accordance with these Terms of Service.
18. Copyright; Digital Millennium Copyright Act
If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you should notify us of your infringement claim in accordance with the procedure set forth below. We will process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws with respect to any alleged or actual infringement. A notification of claimed copyright infringement should be emailed to our copyright agent (Subject line: "DMCA Takedown Request") and mailed to the designated copyright agent address below.
Our designated copyright agent to receive DMCA Notices is: Lead Savage, LLC, ATTN: Copyright Agent, 115 E Main St. - Ste. A1B-9H, Buford, GA 30518.
To be effective, the notification must be in writing and contain the following information: an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest; a description of the copyrighted work or other intellectual property that you claim has been infringed; a description of where the material that you claim is infringing is located on the Platform, with enough detail that we may locate it; your address, telephone number, and email address; a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law; and a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.
Counter-Notice: If you believe that your User Contribution that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner's agent, or pursuant to the law, to upload or display the content in your User Contribution, you may send a written counter-notice containing the following information to the above-listed Copyright Agent: your physical or electronic signature; identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled; a statement that you have a good-faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content; and your name, address, telephone number, and email address, and a statement that you will accept service of process from the person who provided notification of the alleged infringement. If a counter-notice is received by our copyright agent, we will send a copy of the counter-notice to the original complaining party, informing that person that Lead Savage may repost the removed content or cease disabling it in ten (10) business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content may be reposted, or access to it restored, in ten (10) to fourteen (14) business days or more after receipt of the counter-notice, at our sole discretion. We may, at our sole discretion, limit access to the Platform and/or terminate the account of any user who infringes any intellectual property rights of others.
19. Third Party Content
This Platform may include content provided by third parties. All statements and opinions expressed by third parties are solely the opinions and the responsibility of the person or entity providing those materials. Those materials do not necessarily reflect the opinion of Lead Savage. Lead Savage is not responsible for the content or accuracy of any materials provided by any third parties.
a. Third-Party Integrations and Services. The Platform integrates with and relies upon third-party services, applications, and platforms, including but not limited to GoHighLevel, email service providers, SMS/MMS carriers, payment processors, and other third-party tools (collectively, "Third-Party Services"). Lead Savage is not responsible for the functionality, availability, security, or performance of Third-Party Services; changes, modifications, or discontinuation of Third-Party Services; Third-Party Service pricing changes or fee structures; data loss or security breaches originating from Third-Party Services; compliance of Third-Party Services with applicable laws; or service interruptions caused by Third-Party Service failures. Any issues, disputes, or concerns with Third-Party Services must be resolved directly with the applicable third-party provider. Lead Savage makes no warranties regarding Third-Party Services and expressly disclaims any liability for Third-Party Service failures or deficiencies. Integration availability with Third-Party Services may change at any time without notice to you. If a Third-Party Service becomes unavailable or incompatible with the Platform, Lead Savage will use commercially reasonable efforts to provide an alternative solution but is not obligated to do so. Your use of Third-Party Services through the Platform is subject to the third party's terms of service and privacy policies, which you are solely responsible for reviewing and accepting.
20. Links to Other Websites
Lead Savage may provide links to external web sites for the convenience of Platform users. The inclusion of an external link on this Platform does not constitute or imply support or endorsement of any kind. Lead Savage does not control those websites, is not responsible for their content or function, and is not responsible for any loss or damage that may arise from your use of them. If you decide to access the third-party sites linked to this Platform, you do so entirely at your own risk and subject to the terms and conditions of use and the privacy notice for such sites.
21. Disclaimer
THE PLATFORM AND THE SERVICES OFFERED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR THE WARRANTY OF NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT (A) THE PLATFORM, PLATFORM CONTENT OR SERVICES WILL MEET YOUR REQUIREMENTS, (B) THE PLATFORM CONTENT, SERVICES OR PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE CONTENT OR SERVICES OFFERED WILL BE EFFECTIVE, ACCURATE OR RELIABLE, OR (D) THE QUALITY OF ANY PLATFORM CONTENT OR SERVICES PURCHASED OR OBTAINED BY YOU FROM THE PLATFORM, FROM US OR THE LEAD SAVAGE TEAM WILL MEET YOUR EXPECTATIONS OR BE FREE FROM MISTAKES, ERRORS OR DEFECTS.

WE MAY MAKE CHANGES TO THE PLATFORM CONTENT AND SERVICES ON OR THROUGH THE PLATFORM, INCLUDING THE PRICES AND DESCRIPTIONS OF ANY PRODUCTS OR SERVICES LISTED HEREIN, AT ANY TIME WITHOUT NOTICE. THE CONTENT OR PRODUCTS AVAILABLE ON THE PLATFORM MAY BE OUT OF DATE, AND WE MAKE NO COMMITMENT TO UPDATE SUCH CONTENT OR PRODUCTS.
THE USE OF THE PLATFORM, THE SERVICES OR THE DOWNLOADING OR OTHER ACQUISITION OF ANY PRODUCTS OR PLATFORM CONTENT THROUGH THE PLATFORM IS DONE AT YOUR OWN DISCRETION AND RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH ACTIVITIES.
Through your use of the Platform, you may have the opportunities to engage in commercial transactions with other users and vendors. You acknowledge that all transactions relating to any products or services provided by YOU OR any third party, including, but not limited to the purchase terms, payment terms, warranties, guarantees relating to such transactions, are solely between the seller OR PURCHASER of such merchandise OR SERVICE and you.
WE MAKE NO WARRANTY REGARDING ANY TRANSACTIONS EXECUTED THROUGH A THIRD PARTY, OR IN CONNECTION WITH THE PLATFORM, AND YOU UNDERSTAND AND AGREE THAT SUCH TRANSACTIONS ARE CONDUCTED ENTIRELY AT YOUR OWN RISK. ANY WARRANTY THAT IS PROVIDED IN CONNECTION WITH ANY SERVICES OR CONTENT AVAILABLE ON OR THROUGH THE PLATFORM FROM A THIRD PARTY IS PROVIDED SOLELY BY SUCH THIRD PARTY, AND NOT BY US OR THE LEAD SAVAGE TEAM.
WE RESERVE THE SOLE RIGHT TO EITHER MODIFY OR DISCONTINUE THE PLATFORM, INCLUDING ANY SERVICES OR FEATURES THEREIN, AT ANY TIME WITH OR WITHOUT NOTICE TO YOU. WE SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY SHOULD WE EXERCISE SUCH RIGHT. MODIFICATIONS MAY INCLUDE, BUT ARE NOT LIMITED TO, CHANGES IN THE PRICING STRUCTURE AND THE ADDITION OF FREE OR FEE-BASED SERVICES. ANY NEW FEATURES THAT AUGMENT OR ENHANCE THE THEN-CURRENT SERVICES ON THIS PLATFORM SHALL ALSO BE SUBJECT TO THESE TERMS OF SERVICE.
SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. PLEASE CONSULT THE LAWS IN YOUR JURISDICTION.
22. Limitation of Liability, Indemnification, and Mitigation
Your exclusive remedy and our entire liability, if any, for any claims arising out of these Terms of Service and your use of the Platform or the Services shall be limited to the amount you paid us for Services purchased on the Platform during the three (3) month period before the act giving rise to the liability.
IN NO EVENT SHALL LEAD SAVAGE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM MALICIOUS CODE, LOSS OF USE, DATA OR PROFIT LOSS, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND ON ANY THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM OR OF ANY WEBSITE REFERENCED OR LINKED TO FROM THE PLATFORM.
FURTHER, WE SHALL NOT BE LIABLE IN ANY WAY FOR THIRD PARTY PROMISES AND/OR STATEMENTS REGARDING OUR SERVICES OR CONTENT OR FOR ASSISTANCE IN CONDUCTING COMMERCIAL TRANSACTIONS WITH THE THIRD PARTY THROUGH THE PLATFORM, INCLUDING WITHOUT LIMITATION THE PROCESSING OF ORDERS.
SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. PLEASE CONSULT THE LAWS IN YOUR JURISDICTION.
You agree to defend, indemnify, and hold harmless Lead Savage and the Lead Savage Team against all demands, claims, actions, proceedings, damages, liabilities, losses, fees, costs or expenses (including without limitation reasonable attorneys' fees and the costs of any investigation) directly or indirectly arising from or in any way connected with your use of the Platform or Services ("Claims"), including, but not limited to: (a) our use of or reliance on information or data supplied or to be supplied by you, your employees, agents, or Clients; (b) any breach of or default under these Terms of Service by you, your employees, agents, or Clients; (c) the wrongful use or possession of any Lead Savage property by you, your employees, agents, or Clients; (d) any negligence, gross negligence or willful misconduct by you or your employees, agents, or Clients; (e) misrepresentations by you, your employees, agents, or Clients (f) violation(s) of applicable law by you, your employees, agents, or Clients, (g) your actions and the actions of your employees, agents, or Clients; (h) the acts or omissions of you, your employees, agents, or Clients in connection with providing notice and obtaining consents regarding the origination or content of the SMS or MMS messages, email or other communications using the Services, (i) Taxes and other Fees and/or (j) any disputes between (1) you and other users, (2) you and your Client(s), and/or (3) your Clients.
If any of the Services or Platform are, or in our opinion are likely to be, claimed to violate any third-party intellectual property right, at our option we may: (a) obtain the right for you to continue to use the Services and Platform as contemplated by these Terms of Service; (b) modify or replace the Services or Platform, in whole or in part, to seek to make the Services or Platform non-infringing; or (c) require you to immediately cease any use of the Services and Platform, including but not limited to the Lead Savage platform.
23. Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE, THE PRIVACY NOTICE, OR THE PLATFORM MUST BE COMMENCED WITHIN THREE (3) MONTHS AFTER THE EVENT GIVING RISE TO THE ACTION OR CLAIM OCCURRED, REGARDLESS OF WHEN YOU KNEW OR SHOULD HAVE KNOWN ABOUT IT; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
24. Injunctive Relief
You agree that a breach of these Terms of Service will cause irreparable injury to Lead Savage for which monetary damages would not be an adequate remedy and Lead Savage shall be entitled to seek equitable relief, in addition to any remedies it may have hereunder or at law, without having to post a bond or other security.
25. Waiver and Severability
No waiver by Lead Savage of a term or condition set forth in these Terms of Service shall be deemed a continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Lead Savage to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision. If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.
26. Entire Agreement
Except as noted below, these Terms of Service and our Privacy Notice constitute the sole and entire agreement between you and Lead Savage with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Platform. These Terms of Service may not be altered, supplemented, or amended by the use of any other document(s). Lead Savage may enter into a separate agreement with you. The terms of any separate agreement between you and Lead Savage will be considered a part of your entire agreement with Lead Savage. To the extent there is a conflict between these Terms of Service and the terms of your separate agreement with Lead Savage your separate agreement with Lead Savage will control.
27. Term and Termination
These Terms of Service will remain in full force and effect while you use the Platform or subscribe to any Services. Even after you are no longer a user of the Platform, those provisions of these Terms of Service that by their nature are intended to survive will remain binding on you, including but not limited to Sections 3, 7, 12, 15, 18, and 22 to 32 and the Privacy Notice.
a. Grounds for Termination. You agree that Lead Savage in its sole discretion, may suspend or terminate your access to the Platform (or any part thereof) for any reason, with or without notice, and without any liability to you or to any third party for any claims, damages, costs or losses resulting therefrom. Any suspected fraudulent, abusive or illegal activity may be grounds for barring your access to this Platform, and reporting you to the proper authorities, if necessary.
b. No Right to Services Upon Termination. Upon termination and regardless of the reason(s) motivating such termination, your right to use the Services available on this Platform will immediately cease. We shall not be liable to you or any third party for any claims for damages arising out of any termination or suspension or any other actions taken by us in connection therewith.
c. How to terminate or cancel your subscription. If you, for any reason, would like to terminate your access to the Platform, you may submit your cancellation request at https://account.leadsavage.io/bye. Cancellations take effect immediately upon submission as detailed in Section 7(g). By canceling your account you agree that all work created and stored inside your account will be immediately and permanently deleted. If you wish to continue operating on a standalone account after leaving Lead Savage, you must complete the Account Departure and Offboarding process described in Section 12 before executing the Account Cancellation process. Offboarding is available exclusively as set forth in Section 12; Lead Savage does not transfer accounts to third-party agencies, resellers, or other platforms, and intellectual property owned by Lead Savage is not included in any offboarding or transfer.
d. No Termination by Third Party Users. Lead Savage has limited access to subscriptions not directly purchased from us. Any user who has been given access to the Platform by any party other than Lead Savage must contact the party who originally provided access to the Platform for any inquiries related to termination.
28. Applicable Law, Binding Arbitration, and Class Action Waiver
PLEASE READ THE FOLLOWING PARAGRAPHS CAREFULLY BECAUSE THEY REQUIRE YOU TO AGREE TO RESOLVE ALL DISPUTES BETWEEN US THROUGH BINDING INDIVIDUAL ARBITRATION.
The laws of the State of Georgia will govern these Terms of Service and any disputes under them, without giving effect to any principles of conflicts of laws. Any controversy or claim arising out of or relating to these Terms of Service shall be exclusively settled by arbitration administered by the American Arbitration Association in accordance with Commercial Arbitration Rules, then in effect. This arbitration provision is governed by the Federal Arbitration Act. The arbitration proceedings shall be held in Gwinnett County, Georgia. Any arbitration award may be entered in a court of competent jurisdiction. All claims and disputes within the scope of this arbitration agreement must be arbitrated or litigated on an individual basis and not on a class basis. Claims of more than one customer or user cannot be arbitrated or litigated jointly or consolidated with those of any other customer or user.
29. No Bug Bounties
Lead Savage does not have a bug bounty program and does not pay bug bounties. Lead Savage prohibits any third-party access to the Platform or any Lead Savage systems or networks, including any network penetration testing, security assessment or probing, except as expressly permitted by this Agreement or as agreed to by Lead Savage in a separate agreement.
30. Mutual Non-Disparagement
During the term of your subscription and at all times following cancellation or termination of your account, you agree not to make, publish, or cause to be made or published any statement, whether written, oral, electronic, or otherwise, that is disparaging, defamatory, or damaging to the reputation, goodwill, or business interests of Lead Savage, the Lead Savage Team, or the Platform, including on social media, review platforms, forums, blogs, podcasts, or any other public or semi-public channel. Lead Savage agrees to the same obligation with respect to you and your business. This obligation applies to you, your employees, agents, contractors, and any person or entity acting on your behalf or at your direction. This Section does not restrict either party from making truthful statements required by law, regulation, or legal proceeding, including testimony under oath or responses to government inquiries; communicating privately with legal counsel for the purpose of seeking legal advice; filing a legitimate complaint with a government agency or regulatory body; providing factual information in response to a valid subpoena, court order, or regulatory request; or exercising rights that cannot be waived under applicable law. Any breach of this Section constitutes a material breach of these Terms of Service and may result in immediate suspension or termination of your account pursuant to Section 27(a), in addition to any other remedies available to Lead Savage under these Terms of Service or applicable law, including injunctive relief pursuant to Section 24. This obligation survives cancellation, termination, or expiration of your account and these Terms of Service.
31. Miscellaneous
a. Your Privacy Obligations. When you provide access to the Platform to any other parties, i.e. your Client(s), you must implement and enforce your own privacy notice, providing the level of protection at least equal to that provided to you by Lead Savage. You must obtain consent from your Client(s), affirmatively acknowledging that your Client(s) agree(s) to be bound by your privacy notice.
b. International Use. Although the Platform may be accessible worldwide, we make no representation that materials on the Platform are appropriate or available for use in locations outside the United States. Those who choose to access the Platform from other locations do so on their own initiative and at their own risk. If you choose to access the Platform from outside the United States, you are responsible for compliance with local laws in your jurisdiction, including but not limited to, the taxation of products purchased over the Internet. Any offer for any product, Services, and/or information made in connection with the Platform is void where prohibited.
c. Export Compliance. The Services, underlying technology, and technical data may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC). You agree to comply with all applicable U.S. and international export control laws and regulations, including but not limited to not exporting, re-exporting, or transferring the Services or technical data to prohibited countries, territories, or regions; not providing access to the Services to individuals or entities on restricted party lists (such as the Specially Designated Nationals List or Entity List); not using the Services for prohibited end-uses (such as development of weapons of mass destruction); and obtaining any required export licenses or authorizations before exporting controlled technical data. You represent and warrant that you are not located in, under the control of, or a national or resident of any prohibited country or territory; you are not identified on any U.S. government restricted party list; and you will not use the Services in violation of any U.S. export control or sanctions laws. If Lead Savage determines that you have violated or are likely to violate export control laws, Lead Savage may immediately suspend or terminate your access to the Services without notice and without any liability to you. You agree to indemnify Lead Savage for any Claims arising from your violation of export control laws as described in Section 23.
d. Force Majeure. In addition to any excuse provided by applicable law, we shall be excused from liability for non-delivery or delay in delivery of products and/or Services available through the Platform arising from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to: labor disturbance, war, fire, accident, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above.
e. How to send Notices to Lead Savage. All notices to a party shall be in writing and shall be made via email. Notices to Lead Savage must be sent to the attention of Customer Service at support@leadsavage.io. You agree to allow us to submit notices to you either through the email address you provided when registering, or to any address we have on record. Notices are effective on receipt.
32. Communications and Contact Information
Lead Savage may contact you regarding these Terms of Use or the Privacy Notice using any Information you provide, or by any other means if you do not provide contact Information. If you no longer wish to receive communications from Lead Savage you can click on the "unsubscribe link" provided in such communications or contact us. When you enroll in the Service, you must designate a primary email address that will be used for receiving electronic communication related to these Terms of Use and the Service. Lead Savage will never send you an email requesting confidential information such as account numbers, usernames, or passwords, and you should never respond to any email requesting such information. If you receive such an email purportedly from Lead Savage do not respond to the email and notify Lead Savage.
